These General Conditions of Use of the website also apply to users of the MAPAL OS and MAPAL ONE applications, as well as to users of other applications developed by MAPAL, to the extent that access, browsing, and use of these applications involve the use of services offered by MAPAL through digital platforms linked to this website.

Therefore, all users of these applications are advised to carefully read this Legal Notice and these General Conditions of Use, as access and use implies knowledge and acceptance of the terms established herein, without prejudice to the specific conditions that may apply within each platform.

This website is governed by the law and jurisdiction of Spain, and any USER accessing it is subject to both, regardless of the country from which said USER connects to the Internet.

Access to our website by the USER is free and is subject to the prior reading and full, express, and unreserved acceptance of the GENERAL CONDITIONS OF USE contained in this Legal Notice and in force at the time of access. The USER is only entitled to private, non-profit use of these contents. Any modification, reproduction, exploitation, and/or distribution of any content on this website is strictly restricted. Express written authorization from Mapal is required to carry out any action that may involve the exploitation of any of Mapal's intellectual or industrial property rights.

As mentioned, Mapal is a registered trademark, and the reproduction, imitation, use, or insertion of any Mapal trademark or trade name without written authorization is prohibited.

The establishment of links to our website does not confer any rights over it. Furthermore, simply linking to our website does not entitle you to become a Mapal collaborator or partner.

Mapal is exempt from liability for any claims regarding the intellectual property rights and/or industrial property rights of articles and images published by third parties on its website.

Access to our website is free and does not require any prior subscription or registration.

Submitting personal data implies the USER's express acceptance of our Privacy Policy.

The USER must access our website in accordance with internet browsing customs, good faith, and these General Terms of Use. Access to our website is under the USER's sole and exclusive responsibility, and the USER shall be liable in all cases for any damage caused to third parties or to Mapal.

The USER is expressly prohibited from using the content offered on this website for any purpose other than those stipulated in these Terms of Use and/or for any illegal or illicit use.

Likewise, the USER is prohibited from any type of action on our portal that causes excessive overloading of our computer systems, as well as from introducing or spreading any type of virus (worms, Trojan horses, etc.) or any other type of activity carried out with sabotage, fraudulent, or criminal intent, such as phishing, or the installation of bots and/or software that could disrupt the normal operation of our website or, ultimately, cause damage to our computer systems.

Given the difficulty of controlling the information, content, and services contained on third-party websites that may be available through a link from our website, we inform you that Mapal is not responsible for them, without prejudice to the fact that it will endeavor, to the extent possible, to ensure their legality.

Mapal reserves the right to terminate any USER who, in the company's opinion, has violated the Terms and Conditions governing the use of our website. Likewise, it reserves the right to take appropriate legal action against those who violate these General Conditions of Use.

Confidentiality and security are Mapal's core values, and we are therefore committed to always ensuring USER privacy and not collecting unnecessary information.

Providing personal data through our portal requires a minimum age of 18 and express acceptance of our Privacy Policy.

 

D. RESPONSIBILITIES

By making this website available to the USER, we aim to offer you a quality service, using the utmost diligence in providing it and in the technological means used. However, Mapal will not be liable in the event of the appearance of viruses or other elements beyond our control that could damage the USER's computer system.

Mapal does not guarantee that the availability of the service will be continuous and uninterrupted due to circumstances arising from Internet network problems, computer device failures, or other unforeseen circumstances. Therefore, the USER accepts these circumstances within reasonable limits.

This website, except as regulated, where applicable, by specific Terms of Use, is purely for informational purposes and serves as a corporate presentation of our products and services. Therefore, Mapal is not responsible for any expectations of any kind that this may generate for the USER. The USER acknowledges that they have understood all the information regarding the Terms of Use of our portal and acknowledges that they are sufficient to exclude errors therein, and therefore expressly accepts them in full.

The USER is fully aware that merely browsing this website, as well as using its services, implies acceptance of these Terms of Use.

Everything related to our website is governed exclusively by Spanish law. In the event of any discrepancy or dispute between the parties regarding the interpretation and content of this website, all parties expressly waive any other jurisdiction and submit to the jurisdiction of the Courts and Tribunals of Madrid.

LEGAL NOTICE AND GENERAL CONDITIONS OF USE OF THE MAPAL OS SOFTWARE

 

A. IDENTIFICATION OF THE HOLDER

In compliance with the current regulations on information society services and electronic commerce, we inform you that this software is owned by any of the Mapal Group companies with which you have signed a Software License Agreement, subject to the general terms of use:

- Mapal SOFTWARE S.L. (hereinafter "MAPAL") with tax identification number B85594752 and registered office at C/ Arte 21, 6th floor, CP 28033 Madrid, Spain.

- Flow Hospitality LTD with registered office at Apex 3, 2nd floor (rear office), 95 Haymarket Terrace, Edinburgh, EH12 5HD, United Kingdom.

- Ideolys SAS with registered office at 52 Rue Jacques-Yves Cousteau, 8500 La Roche-sur-Yon, France.

- GetCompliant 2013 AB, registered office at Hornsbruksgatan, 23b, Stockholm 117 34, Sweden.

B. PURPOSE AND SCOPE OF APPLICATION

These General Terms and Conditions, as additional information to the Terms and Conditions stipulated in the Software License and Service Provision Agreement, govern access to and use of the MAPAL OS software by authorized users (employees, managers, administrators, etc.), within the framework of the contractual relationship between MAPAL and the Customer company holding the account (hereinafter referred to as "the Customer").

Access to the software implies the user's full and unreserved acceptance of these terms and conditions. If you do not agree with them, you must refrain from using the platform. In the event of a conflict between these General Terms and the corresponding Software License and Service Provision Agreement, the latter shall prevail.

 

C. ACCESS AND USE OF THE SOFTWARE

The terms of access and use of the software are governed by the corresponding Software License Agreement. In exchange for payment of the corresponding fees, MAPAL grants the Customer a non-exclusive, non-transferable license, valid for the contracted period, for its authorized users to access and use the MAPAL OS platform for the agreed purpose and subject to the terms of the agreement.

The Customer may not sublicense, assign, or transfer the rights of use to third parties without express authorization. Use of the platform must comply with the minimum technical requirements established by MAPAL, which may be updated for technical or improvement reasons.

The platform may be modified, updated, or improved by MAPAL at any time for technical, legal, commercial, or design reasons. Unless otherwise indicated in the purchase order, MAPAL will provide support in accordance with its current support services policy.

For additional services not covered by the purchase orders, a specific and separate agreement between the parties will be required.

 

D. INTELLECTUAL PROPERTY AND TRADEMARK

The Customer acknowledges that all intellectual and industrial property rights over the MAPAL OS platform, its services, documentation, and web portals belong exclusively to MAPAL or its licensors. The Customer's authorized use is limited solely to the license granted under the service agreement.

The Customer agrees not to copy, modify, decompile, create derivative works, or otherwise interfere with MAPAL's rights, nor may it transfer or sublicense such rights.

The materials provided by the Customer will remain its property. However, the Customer grants MAPAL a non-exclusive license to use them during the term of the agreement and solely for the purpose of providing the contracted services.

The use of third-party materials, if any, will be governed by the terms established by those third parties, notified to or provided by MAPAL.

All improvements, updates, or developments made to the platform or services will be the exclusive property of MAPAL. Furthermore, any suggestions or comments for improvement provided by the Customer may be freely used by MAPAL, which will acquire all rights to such contributions at no additional cost.

 

E. RESPONSIBILITY

Unless expressly provided in the contract:

The Customer is solely responsible for its use of the platform and services, as well as for the results obtained and decisions made based on them. MAPAL is not liable for errors resulting from incorrect instructions provided by the Customer or from use of the platform without meeting minimum technical requirements.

The Customer is responsible for compliance with applicable regulations, including labor or social security laws.

MAPAL undertakes to implement reasonable technical measures to ensure the availability and proper functioning of the platform, in accordance with the state of the art.

MAPAL shall not be liable for the quality of telecommunications or electronic transmissions beyond its control, nor shall it be liable for indirect damages, loss of profits, reputation, or any other loss of earnings.

MAPAL shall not be liable for failure to perform or delay due to causes beyond its reasonable control, such as labor disputes, technical failures, natural disasters, or government decisions, provided that the Customer is informed of the cause and estimated duration.

 

F. CONFIDENCIALITY AND DATA PROTECTION

Both parties agree to maintain the confidentiality of all shared confidential information, protecting it from unauthorized access, damage, or loss, both during the term of the contract and after its termination. Such information may only be used or disclosed with express consent or as legally permitted.

Confidential information may only be communicated to authorized personnel (employees, consultants, contractors, etc.) who need it to fulfill the obligations of the contract, guaranteeing their commitment to this clause, or when required by law or a competent authority.

The parties agree not to use confidential information for purposes unrelated to the contract.

The Customer's personal data will be processed in accordance with Regulation (EU) 2016/679 (GDPR) for the purpose of providing the contracted services. The Customer may exercise their data protection rights by writing to dpo@mapal-os.com or mapal@delegado-datos.com.  A complaint may also be filed with the competent data protection authority. The Parties shall establish the conditions for data processing in compliance with the provisions agreed upon in the relevant personal data processing agreement.

INFORMATION ON THE USE OF THE APPLICATION

Employee access to and use of the MAPAL ONE Application is part of their employment relationship with the employer, which acts as the data controller. The processing of such data through the Application is based on the performance of the employment relationship, compliance with legal obligations, and the legitimate interest of the employer.

Use of the Application does not require employee consent, as the processing of personal data is covered by the aforementioned legal grounds. This clause is for informational purposes only, in accordance with Article 13 of Regulation (EU) 2016/679 (GDPR).

Employees may exercise their rights of access, rectification, erasure, restriction of processing, objection, and data portability at any time with their employer, as the data controller. For any questions or requests related to their personal data, they should contact their employer directly or, where appropriate, the Data Protection Officer designated by the employer.

OWNERSHIP AND PROTECTION OF CONTENT

The aforementioned group of companies is the owner of all intellectual and industrial property rights to the Application, as well as the elements contained therein. The following activities are expressly prohibited: reproduction, display, transmission, distribution, and public communication, including the method of making available, of any part or content of the Application on any other computer, server, physical or electronic medium, website, publication medium, and/or distribution without express written consent. The User agrees to respect the intellectual and industrial property rights and to view the elements of the Application exclusively on the device on which it is installed, refraining from deleting, altering, circumventing, or manipulating any of the Application's protection elements or security systems.

APPLICATION ACCESS AND SECURITY

The Application may only be used by those registered as Users, for the use of the Application by their employer, pursuant to the Software License and Services Agreement entered into with our group companies. It is the User's responsibility to maintain the confidentiality of their account information (User Code and PIN) and it is strictly prohibited to use another person's account to access the Application.

USE OF THE APPLICATION

The Application provides access to a multitude of information, programs, services, links, or data (hereinafter, the "Content") belonging to the Owner. The User assumes full responsibility for their use of the Application.

Furthermore, the User guarantees that all personal information provided through the Application is truthful and undertakes to keep their data updated at all times. The User is solely responsible for any inaccuracy or falsity of the data provided through the Application and for any damages this may cause to the Owner or third parties.

Based on the legal basis of the employment relationship between the User and the Employer, the Application may collect, report, and notify all types of User information related to employment, such as: work shifts, vacations, absenteeism incidents, days off, distances and commutes, geolocation (timely sending of location by the user and with their authorization, if the user chooses the "GPS Time Clock" option), messages, communications, documentation, and personal data, among others.

The User acknowledges and accepts that the information may change in real time and expressly waives any right to file any claim against the Owner or third parties. Likewise, the User expressly accepts that the definitive employment information will be communicated directly by their Employee, through the means stipulated by the Employer in accordance with current labor regulations.

The use of the Application or its Content for any activity contrary to the law or that may cause damage or harm to any person or property is expressly prohibited. The use of any type of process to access or monitor any part of the Application or its Content in order to obtain documents or information not available through it is also strictly prohibited. Likewise, unauthorized access to any part of the Application or the services offered through it by any illegitimate means, including password forgery or password mining, is expressly prohibited.

Likewise, you are prohibited from assessing the vulnerability of the Application or any network connected to it, from breaching the security measures of the Application or any network connected to it, or from searching for the data of other Application Users.

By accessing or accessing the Application, the User agrees not to take any action that could cause a disproportionate or unnecessary load on the infrastructure, systems, and/or networks connected to it, and not to use any device, program, virus, or routine to interfere with the proper functioning of the Application.

A virus is any malicious software application, code, file, or program that may impede, impair, or adversely affect the operation of any computer program, hardware, or network, or any telecommunications service, equipment, network, or device that may impede, impair, or adversely affect access to or operation of any program or data, including the reliability of any program or data (whether by reorganizing, altering, or deleting the program or data in whole or in part, or otherwise); or that negatively affects the User experience, including worms, Trojan horses, viruses, and/or similar devices.

DISCLAIMER OF WARRANTIES AND LIABILITIES

The Owner does not guarantee that the information on the Application may include incorrect or outdated data, technical inaccuracies, or typographical errors. The Owner assumes no liability for the information provided by the Employer through the Application.

Likewise, the Owner is not liable under any circumstances for damages of any kind arising from or related to the Application, the use or inability to use it, or that may be caused by, but not limited to, errors or omissions in the Content, the download or inability to download materials and content, the total or partial unavailability of the Application or its contents, external links to other applications or websites, the inaccuracy or lack of veracity of the data and information provided by and for the User, or the transmission of viruses or harmful programs in the content. This exclusion and waiver of liability applies to all causes of action, whether based on contract, warranty, tort, or any other legal theory.

The Owner disclaims any express or implied warranties, and cannot guarantee that the Application will operate uninterruptedly, timely, or error-free. Therefore, the User uses the Application at his or her own risk. All materials, information, products, services, software, and programs are provided with "AS IS," without warranties of any kind.

By accessing the Application, the User agrees to hold harmless and not to sue or claim damages, expenses, or liabilities (including attorneys' fees) of any kind from the Owner, its members of its governing bodies, its agents, or employees, either on its own behalf or on behalf of third parties, for any reason arising from the use or inability to use the Application.

LINKS

In the event that the Application contains links or hyperlinks to other Internet sites and/or applications, the Owner exercises no control over said sites and Content. Under no circumstances will the Owner assume any responsibility for the availability or content of links to third-party websites or applications, nor will it guarantee the technical availability, quality, reliability, accuracy, comprehensiveness, truthfulness, validity, legality, or constitutionality of any material or information contained in any such hyperlinks, websites, or applications.

RIGHT OF EXCLUSION

The Owner reserves the right to deny or withdraw access to the Application and/or the services and products offered therein, without prior notice, to any User who violates these General Terms of Use.

BREACH OF THE TERMS OF USE

In accordance with current legislation, the Owner may use the User's personal data (including their identity) to conduct an investigation or file a claim arising from fraudulent use of the Application, or to identify, contact, or take legal action against anyone who may have interfered with or caused damage to the rights or property of the Owner, the Employer, or the Users of the Application.

In the event that the Owner takes any legal action against the User as a result of the User's breach of these Terms of Use, the Owner shall be entitled to recover attorneys' fees and reasonable costs incurred by such action, in addition to any other legally available compensation. The User agrees that failure to comply with these Terms of Use constitutes an unlawful and unfair practice, causing serious harm to the Owner.

MODIFICATION OF THESE TERMS AND DURATION

The Owner reserves the right to modify, add, or remove portions of these Terms of Use at any time. It is the User's responsibility to check these Terms of Use periodically for updates. Continued use of the Application after the posting of modifications constitutes acceptance of them.
